By using our website, purchasing our products, or engaging our services, you confirm that:

- You have read, understood, and agree to be bound by these Terms
- You will comply with all applicable laws and regulations
- The information you provide is accurate, current, and complete
If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
02 Services We Provide
xixaSoft offers the following services:
- JTL Shop & Shopware Development: Theme development, plugin creation, customization, and migration services
- JTL Wawi Management: ERP setup, configuration, integrations, and automation
- Google Ads & Merchant Center: Campaign management, feed optimization, and conversion tracking
- Laravel Development: SaaS platforms, REST APIs, and custom web applications
- Digital Products: Premium plugins and extensions available for purchase
Service specifics, deliverables, timelines, and pricing are defined in individual project proposals or product descriptions.
03 Pricing and Payment
Pricing
All prices are displayed in the currency you select (EUR or USD) and exclude applicable taxes unless otherwise stated. We reserve the right to update our prices at any time, but changes will not affect confirmed orders or ongoing projects.
Payment Terms
- Products (plugins): Full payment required at purchase
- Services (Starter/Professional): 50% upfront, 50% on completion
- Enterprise projects: Milestone-based payments as agreed in contract
- Monthly services: Charged in advance at the start of each month
Payment Methods
We accept: Bank transfer (SEPA), credit cards, PayPal, and Stripe. Invoices are issued for all transactions and can be provided in your required format.
Late Payments
Payments overdue by more than 14 days may incur a late fee of 2% per month. Continued non-payment may result in service suspension and legal action.
04 Project Scope and Changes
Each project begins with a detailed proposal outlining scope, deliverables, timeline, and cost. Once approved, this document forms the basis of our work.
Change Requests
- Minor adjustments during development are welcomed and included
- Significant scope changes require a written change order with revised timeline and cost
- Post-launch changes are handled through our maintenance plans or hourly consulting
Client Responsibilities
To ensure project success, clients must:
- Provide necessary access, materials, and information in a timely manner
- Respond to communication within 3 business days
- Test and approve deliverables at agreed milestones
- Make payments according to agreed schedule
Delays caused by client unresponsiveness may extend project timelines and are not our responsibility.
05 Intellectual Property Rights
Custom Development
Upon final payment, you receive full ownership of custom code developed specifically for your project. This includes source code, documentation, and design assets created exclusively for you.
Our Retained Rights
We retain the right to:
- Use general knowledge, techniques, and skills acquired during the project
- Reuse pre-existing libraries, frameworks, and code components we developed
- Display the project in our portfolio (unless you specifically request otherwise via NDA)
Third-Party Components
Third-party software, plugins, and libraries used in your project remain the property of their respective owners and are subject to their license terms.
Our Products (Plugins)
Purchased plugins are licensed to you (not sold). Each license permits use on the number of domains specified in your purchase. You may not resell, redistribute, or share the code without our written permission.
06 Warranties and Guarantees
What We Guarantee
- Quality workmanship: Code follows industry best practices and standards
- Bug fixes: Free bug fixes during your support period (30-90 days depending on package)
- Compatibility: Compatible with the platform version specified at delivery
- 30-day money-back guarantee: On all plugin purchases
What We Cannot Guarantee
- Third-party software behavior beyond our control
- Compatibility with future platform versions (covered by maintenance plans)
- Specific business outcomes (revenue, traffic, rankings)
- Compatibility with unrelated third-party plugins or customizations
07 Limitation of Liability
To the fullest extent permitted by law:
- Our total liability for any claim is limited to the amount you paid for the specific service or product giving rise to the claim
- We are not liable for indirect, incidental, consequential, or punitive damages (loss of profits, data, or business opportunities)
- We are not responsible for damage caused by third-party services, hosting providers, or your own modifications to our code
- Force majeure events (natural disasters, wars, pandemics, internet outages) are outside our control
Nothing in these Terms limits liability that cannot be limited by law (e.g., death, personal injury, fraud).
08 Termination
Termination by You
- Monthly services can be canceled at any time with no penalty (current month remains charged)
- Ongoing projects may be canceled with written notice; you pay for work completed to that point
- Products (plugins) are subject to our 30-day money-back guarantee
Termination by Us
We may terminate or suspend services immediately if you:
- Breach these Terms
- Fail to make payments
- Engage in abusive, illegal, or fraudulent behavior
- Violate our intellectual property rights
Upon termination, all outstanding invoices become immediately due.
09 Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement.
- We will not disclose your business information, trade secrets, or personal data to third parties
- We can sign Non-Disclosure Agreements (NDAs) upon request
- Confidentiality obligations survive termination of the engagement
10 Governing Law and Disputes
These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.
Dispute Resolution
Before pursuing formal legal action, both parties agree to attempt resolution through:
- Direct negotiation: Good-faith discussion within 30 days of the dispute arising
- Mediation: Non-binding mediation with a neutral third party
- Arbitration or court: As a last resort, in the courts of Skardu, Pakistan
11 Changes to These Terms
We may modify these Terms at any time. Changes take effect when posted on our website. Continued use of our services after changes constitutes acceptance of the new Terms.
For significant changes, we will notify existing clients and users via email at least 30 days in advance.
